1. Definitions and Interpretation
In these Terms and Conditions, the following definitions apply unless the context requires otherwise:
- "Anggun Systems" means Anggun Systems Sdn. Bhd., a company registered in Malaysia, with its principal place of business at 19, Jalan Tunku Abdul Rahman, 50100 Kuala Lumpur, Wilayah Persekutuan.
- "Client" means any individual or organisation that engages Anggun Systems for professional services.
- "Deliverable" means any work product — including software, documentation, policy drafts, evaluation reports, or other materials — produced by Anggun Systems under a service engagement.
- "Engagement" means a defined scope of professional services agreed between Anggun Systems and the Client, typically specified in a Statement of Work or equivalent instrument.
- "Services" means the AI consultancy and engineering services described in Section 3 and on the Anggun Systems website.
- "Website" means the Anggun Systems website at anggulnsymv.buzz and all pages hosted under it.
References to "we", "us", or "our" refer to Anggun Systems. References to "you" or "your" refer to the Client or website visitor.
2. Acceptance of Terms
By using this website or by entering into an engagement with Anggun Systems, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
If you are entering into an engagement on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not have such authority, you must not proceed.
These Terms form part of the overall agreement between Anggun Systems and the Client. Where a specific engagement agreement, Statement of Work, or data handling agreement is executed, the terms of that document take precedence over these general Terms in the event of a conflict.
3. Services Offered
Anggun Systems provides AI engineering and advisory services to Malaysian businesses. The services available as of the date of these Terms are:
Service 01
Custom Model Development
A nine-to-fourteen-week engineering engagement to scope, build, evaluate, document, and hand over a machine learning model configured for a specific organisational problem. The deliverable is a tested, documented system suitable for production deployment in a regulated Malaysian business context.
Indicative fee: MYR 2,280 · Duration: 9–14 weeks
Service 02
Retrieval System for Internal Knowledge
Design, build, and deployment of a retrieval-augmented system allowing staff to query the firm's documented knowledge in natural language. Includes one production deployment and ninety days of post-deployment tuning. Residual error rates are measured, documented, and disclosed to the Client as part of the deliverable.
Indicative fee: MYR 1,290 · Includes 90-day tuning period
Service 03
Internal AI Policy Drafting
A four-week advisory engagement resulting in a draft internal policy document governing the firm's use of AI tools, covering staff practice, system introduction, and disclosure obligations. The draft is suitable for review and adoption by the Client's leadership or legal team.
Indicative fee: MYR 510 · Duration: 4 weeks
Fees shown are indicative. The binding fee for any engagement is set out in the executed Statement of Work. Anggun Systems reserves the right to decline any engagement enquiry without providing a reason.
4. Engagement Terms and Client Obligations
4.1 Commencement
An engagement commences upon the execution of a Statement of Work or equivalent instrument signed by both parties. Verbal agreements, email correspondence, or informal communications do not constitute a binding engagement.
4.2 Client responsibilities
The Client agrees to:
- Designate a primary point of contact who has authority to make decisions on behalf of the Client;
- Provide access to data, systems, and personnel reasonably necessary for Anggun Systems to perform the Services;
- Ensure that any data provided to Anggun Systems has been collected lawfully and that the Client holds the rights necessary to share it;
- Review and respond to deliverables within the timelines set out in the Statement of Work;
- Pay invoices in accordance with Section 5.
4.3 Scope changes
Requests to materially alter the scope of an engagement must be documented in a written change order agreed by both parties. Anggun Systems is not obliged to carry out work outside the agreed scope without a change order. Scope changes may result in revised timelines and fees.
5. Fees, Payment, and Invoicing
5.1 Invoicing
Invoices are issued in Malaysian Ringgit (MYR) unless otherwise agreed. The invoicing schedule for each engagement is set out in the Statement of Work. Where no schedule is specified, Anggun Systems will invoice fifty percent (50%) upon commencement and the balance upon delivery.
5.2 Payment terms
Payment is due within fourteen (14) calendar days of the invoice date. Anggun Systems reserves the right to suspend work on an engagement where an invoice remains unpaid beyond thirty (30) calendar days of the due date.
5.3 Taxes
Fees are exclusive of applicable Malaysian taxes including Sales and Service Tax (SST), where applicable. Any such taxes will be itemised on the invoice and are the responsibility of the Client.
6. Intellectual Property
6.1 Deliverables
Upon full payment of all fees due under an engagement, Anggun Systems assigns to the Client all intellectual property rights in the Deliverables produced specifically for that engagement, including bespoke software, policy documents, and evaluation reports.
6.2 Background IP
Intellectual property owned by Anggun Systems prior to the engagement — including general methodologies, frameworks, reusable code libraries, and technical approaches — remains the property of Anggun Systems. Where Deliverables incorporate Background IP, Anggun Systems grants the Client a non-exclusive, perpetual, royalty-free licence to use that Background IP solely as embodied in the Deliverable.
6.3 Client data and materials
Data, documents, and materials provided by the Client remain the property of the Client. Anggun Systems has no rights to use Client materials other than as necessary to perform the Services.
7. Confidentiality
Each party agrees to hold the other's confidential information in confidence and not to disclose it to third parties without prior written consent, except: (a) as required by applicable law or a binding order of a competent authority; (b) to professional advisers bound by equivalent obligations; or (c) where the information is or becomes publicly available through no fault of the receiving party.
Anggun Systems treats all Client data, engagement details, and internal documentation provided in the course of an engagement as confidential. This obligation survives the termination of an engagement for a period of three (3) years.
Where the nature of the engagement requires a more detailed confidentiality arrangement, the parties may execute a standalone Non-Disclosure Agreement, which will take precedence over this clause.
8. Limitation of Liability
8.1 Cap on liability
To the maximum extent permitted by Malaysian law, Anggun Systems' total aggregate liability to the Client — whether in contract, tort, statute, or otherwise — arising out of or in connection with an engagement shall not exceed the total fees paid by the Client under that engagement in the twelve (12) months preceding the event giving rise to the claim.
8.2 Excluded losses
Anggun Systems shall not be liable, whether in contract, tort, or otherwise, for any:
- Loss of profit, revenue, or anticipated savings;
- Loss of business, contracts, or goodwill;
- Loss of or corruption of data;
- Indirect, consequential, or special loss of any kind.
8.3 AI system limitations
The Client acknowledges that AI and machine learning systems produced under any engagement will have residual error rates that are inherent to the technology. Anggun Systems will document and disclose these rates as part of the Deliverable. The Client accepts responsibility for decisions made using Deliverables and for ensuring that appropriate human oversight is maintained in all operational contexts.
9. Warranties and Disclaimers
9.1 Anggun Systems' warranty
Anggun Systems warrants that it will perform the Services with reasonable care and skill, using personnel with appropriate technical competence. Anggun Systems does not warrant that any Deliverable will be free of all defects or that it will perform without interruption or error in all operating conditions.
9.2 No warranty of outcome
Anggun Systems does not warrant that the use of any Deliverable will result in any specific commercial outcome, improvement in efficiency, or reduction in cost. The Services are professional advisory and engineering services; their value depends on how the Client applies the Deliverables within its own organisation.
9.3 Website
The Website is provided for informational purposes. We do not warrant that it will be available at all times, free of errors, or secure from unauthorised access. Information on the Website is subject to change without notice.
10. Website Use
The Website and all content on it are the property of Anggun Systems. You may access the Website for the purpose of obtaining information about our services. You may not:
- Reproduce, distribute, or republish any content from the Website without our written consent;
- Use any automated scraping, indexing, or data extraction tool on the Website without our written consent;
- Attempt to gain unauthorised access to any part of the Website or its underlying infrastructure;
- Use the Website in any manner that could damage its availability or integrity.
The Website may contain links to third-party websites. Such links are provided for convenience only. Anggun Systems does not endorse and is not responsible for the content or practices of linked third-party sites.
11. Termination
11.1 Termination for convenience
Either party may terminate an engagement for convenience by providing fourteen (14) calendar days' written notice. Upon termination, the Client shall pay for all work completed to the date of termination, calculated on a pro-rata basis by reference to the agreed scope and fee.
11.2 Termination for cause
Either party may terminate an engagement immediately by written notice if the other party commits a material breach of these Terms or the engagement agreement that it fails to remedy within fourteen (14) calendar days of receiving written notice of the breach.
11.3 Effect of termination
Upon termination, Anggun Systems will deliver to the Client all Deliverables produced to the date of termination in their then-current state, subject to receipt of all sums due. Clauses relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.
12. Governing Law and Dispute Resolution
These Terms and any engagement between Anggun Systems and the Client are governed by and construed in accordance with the laws of Malaysia.
In the event of a dispute arising from or in connection with these Terms or any engagement, the parties agree first to attempt resolution through good-faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) calendar days, the parties agree to submit it to the non-exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
Nothing in this clause limits Anggun Systems' right to seek urgent injunctive or other equitable relief in any court of competent jurisdiction.
13. Amendments
Anggun Systems may update these Terms from time to time. The revised Terms will be posted on the Website with an updated effective date. For users of the Website, continued use after a revision constitutes acceptance of the revised Terms.
For active engagements, changes to these Terms will apply to new engagements only and will not alter the terms of any engagement that has already been executed, unless the parties expressly agree in writing.
